Terms & Conditions

These Terms & Conditions govern your access to and use of the FDI Connect platform, websites, applications, and related services. Please read them carefully. By creating an account or otherwise using the service, you agree to be bound by these terms.

1. Acceptance of these terms

These Terms & Conditions (the "Terms") are a legally binding agreement between you ("you", "your", or the organisation you represent) and FDI Connect ("FDI Connect", "we", "us", or "our") governing your use of the FDI Connect platform, including our websites, web and mobile applications, APIs, data, communications, and all related features and content (together, the "Service").

By registering for an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Service. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, in which case "you" refers to that organisation.

2. Definitions

  • "Account" means an individual or organisation account registered on the Service.
  • "Organisation Account" means an account held by an economic development agency (EDA), government department, company, or other entity that holds a subscription and to which Team Members may be linked.
  • "Team Member" means an individual linked to an Organisation Account with permissions granted by an Organisation administrator.
  • "User Content" means any content you submit, publish, or transmit through the Service, including feed posts, location showcases, property and land listings, data drops, reports, comments, messages, profile information, images, and files.
  • "Platform Data" means demographic, economic, workforce, geographic, and other datasets and analytics made available through the Service.
  • "Subscription" means a paid plan providing access to premium features of the Service.

3. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for professional use by economic development agencies, government bodies, investors, funds, site selectors, developers, brokers, infrastructure providers, and related professionals.

You agree to provide accurate, current, and complete information when creating your Account and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. You must notify us promptly at support@fdi-connect.com of any unauthorised use or suspected security breach. We are not liable for any loss arising from unauthorised use of your Account where you have failed to keep your credentials secure.

4. Organisations & team members

Organisation Accounts may add Team Members, each with their own personal profile and role-based permissions governing who may publish content, respond to enquiries, manage the subscription, or access analytics. If you are an Organisation administrator, you are responsible for the actions of your Team Members and for managing their permissions and access.

When a Team Member leaves an Organisation, the Organisation may remove them, and the departing individual retains their personal profile. You represent that you have the authority and any necessary consents to add individuals as Team Members and to associate them with your Organisation.

5. Verification & badges

We may offer verification of Accounts, Organisations, and employment affiliations (for example, by confirming control of a work-email domain). A verification badge indicates that we have carried out a defined check at a point in time. It is not a guarantee, endorsement, or warranty by FDI Connect of any person, organisation, listing, dataset, or transaction, and it does not verify the accuracy of any User Content. You must not misrepresent your identity, affiliation, authority, or credentials, or attempt to obtain verification by false or misleading means.

6. Subscriptions, billing & renewals

Certain features require a paid Subscription. Subscription tiers, features, and pricing are described at the point of purchase and may change on a going-forward basis. Government and EDA pricing applies per location or jurisdiction as described at sign-up.

  • Payment. Subscriptions are billed in advance through our third-party payment processor. You authorise us and our processor to charge your chosen payment method for all fees due.
  • Auto-renewal. Unless otherwise stated, Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You may cancel renewal at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period.
  • Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.
  • Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, downgrades, or unused features.
  • Non-payment. We may suspend or downgrade your Account if fees are not paid when due.

7. Free tier & trials

We may offer a free tier or promotional trial with limited functionality (for example, a basic profile, limited browsing, or a locked/preview dashboard). Free-tier and trial features are provided on an "as available" basis and may be changed, limited, or withdrawn at any time. We may impose usage limits and require an upgrade to a paid Subscription to access premium features.

8. Your content & licence

You retain ownership of your User Content. By submitting User Content to the Service, you grant FDI Connect a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable licence to host, store, reproduce, adapt, format, publish, display, and distribute that User Content for the purposes of operating, providing, promoting, and improving the Service (including displaying your content to other users, in feeds, search results, maps, notifications, and where relevant propagating government/EDA data drops into related location profiles).

You represent and warrant that, for all User Content you submit:

  • you own it or have all rights, licences, and permissions necessary to submit it and grant the licence above;
  • it is accurate and not misleading, and you will keep listings and profile data reasonably up to date;
  • it does not infringe any third party's intellectual property, privacy, publicity, or other rights; and
  • it complies with these Terms, our acceptable use rules, and applicable law.

We do not claim ownership of your User Content, and these licence rights end when your content is removed from the Service, except (a) to the extent it has been shared with others who have not deleted it, (b) for reasonable backup and legal-retention purposes, and (c) for aggregated or de-identified data that does not identify you.

9. Property & land listings

The Service enables users to publish property and land listings with factsheets, zoning, utility, incentive, and workforce information. FDI Connect is a technology platform and is not a real-estate broker, agent, dealer, or party to any transaction between users. We do not list, sell, lease, appraise, or represent any property.

  • Listings and their details are provided by the users who publish them. We do not independently verify listing accuracy, availability, pricing, zoning, incentive eligibility, or ownership.
  • If you publish a listing, you are solely responsible for its accuracy, for having the right to advertise the property, and for compliance with all applicable real-estate, advertising, fair housing, and disclosure laws.
  • You must conduct your own due diligence and obtain independent professional advice before relying on any listing or entering into any transaction. Any dealing is solely between the relevant users.

10. Data, demographics & no reliance

The Service provides Platform Data including demographic, workforce, economic, industry, cost, incentive, and geographic datasets and analytics, some of which are sourced from third parties and public sources (for example, national statistical and economic agencies) and some of which are modelled, estimated, or AI-generated.

Platform Data is provided "as is" and "as available" for general informational purposes only. We do not warrant that it is accurate, complete, current, or fit for any particular purpose. Data points, boundaries, indices, and summaries may contain errors, omissions, or estimates and may be superseded. You must not treat Platform Data as authoritative and must independently verify any information before relying on it for site selection, investment, or other decisions. FDI Connect is not liable for any decision made in reliance on Platform Data.

11. AI features & Design Studio

The Service includes AI-assisted features, including location-to-industry fit summaries, content assistance, and the Claude Design Studio for generating creatives, spotlights, reports, and branded collateral from platform data. AI features are powered in part by third-party AI providers.

  • AI-generated output may be inaccurate, incomplete, or unsuitable and can vary between requests. You are responsible for reviewing, editing, and verifying any output before relying on it or publishing it.
  • You must not use AI features to generate content that is unlawful, infringing, deceptive, or that otherwise violates these Terms.
  • To the extent permitted by law and as between you and us, you are responsible for AI output you publish as User Content, and the representations in Section 8 apply to it.

12. Acceptable use

You agree not to, and not to permit any Team Member or third party to:

  • violate any law or regulation, or infringe the rights of others;
  • post content that is false, misleading, defamatory, obscene, harassing, discriminatory, or otherwise objectionable;
  • impersonate any person or organisation, or misrepresent your affiliation, role, or authority;
  • upload malware, or interfere with, disrupt, or attempt to gain unauthorised access to the Service, its infrastructure, or other accounts;
  • circumvent, disable, or bypass any access controls, subscription gating, usage limits, rate limits, or security features;
  • send spam, chain messages, or unsolicited commercial communications through the Service;
  • use the Service to build, train, or benchmark a competing product or dataset;
  • resell, sublicense, or commercially exploit the Service or Platform Data except as expressly permitted; or
  • collect or harvest personal data of other users except as permitted for legitimate professional contact within the Service's intended features.

13. No scraping or automated access

Except with our prior written permission or through an API or export feature we expressly provide, you must not use any robot, spider, scraper, crawler, or other automated means to access, monitor, index, copy, or extract data or content from the Service; aggregate, republish, or create derivative datasets from Platform Data or other users' content; or bypass any measure we use to restrict access. Systematic retrieval of content to create a collection, database, or directory is prohibited. We may use technical and legal measures to detect and prevent such activity.

14. Messaging, enquiries & notifications

The Service includes direct messaging, enquiries, and notification features. You must use these only for legitimate, professional, and non-abusive communications and must honour recipients' preferences and applicable anti-spam and electronic-communications laws. Notifications and digests are governed by your settings, subject to system-level frequency safeguards and any communications necessary to operate the Service. Misuse of messaging (including spam, harassment, or bulk unsolicited outreach) may result in suspension.

15. Moderation & takedown

We may, but are not obliged to, review, moderate, screen, or pre-approve User Content, listings, reports, or location updates. We may remove, disable, restrict, or refuse any content, and may suspend or terminate any Account, at our discretion where we reasonably consider it violates these Terms, is unlawful, or may harm the Service or other users. We are not responsible for User Content and do not endorse it. If you believe content infringes your rights or violates these Terms, contact us at support@fdi-connect.com.

16. Intellectual property

The Service, including its software, design, text, graphics, logos, trademarks, compilations, and the selection, arrangement, and structure of Platform Data, is owned by FDI Connect or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal professional purposes. All rights not expressly granted are reserved. You must not copy, modify, distribute, reverse engineer, or create derivative works of the Service except as permitted by law. "FDI Connect" and our logos are our trademarks; you may not use them without our prior written consent.

17. Third-party services & links

The Service integrates and relies on third-party services (for example, hosting, database, authentication, payment processing, email delivery, mapping, and AI providers) and may contain links to third-party websites and content. We do not control and are not responsible for third-party services, websites, or content, and your use of them may be governed by their own terms and privacy policies. Mapping and geospatial features are provided by third parties and are subject to their terms and usage restrictions.

18. No professional or investment advice

The Service and all content, data, listings, summaries, and analytics are provided for general informational purposes only and do not constitute legal, financial, tax, investment, real-estate, planning, or other professional advice, nor an offer, solicitation, or recommendation to buy, sell, lease, invest in, or transact on any location, property, or security. You are solely responsible for your decisions and should obtain independent professional advice.

19. Disclaimers of warranties

To the fullest extent permitted by law, the Service and all content and Platform Data are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content or data is accurate, complete, or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

20. Limitation of liability

To the fullest extent permitted by law, FDI Connect and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunity, arising out of or relating to your use of (or inability to use) the Service, any User Content, listings, Platform Data, AI output, or any transaction between users, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to FDI Connect in the twelve (12) months immediately before the event giving rise to the claim, or (b) one hundred pounds sterling (£100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including for death or personal injury caused by negligence, or for fraud).

21. Indemnification

You agree to indemnify, defend, and hold harmless FDI Connect and its officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your listings, your use of the Service, your violation of these Terms or applicable law, or your infringement of any third-party right.

22. Suspension & termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access to all or part of the Service, with or without notice, if you breach these Terms, if required by law, to protect the Service or other users, or if your Subscription lapses. On termination, your right to use the Service ceases, though provisions that by their nature should survive (including content licences granted to third parties, intellectual property, disclaimers, limitations of liability, indemnities, and governing law) will survive. We may retain and delete data in accordance with our Privacy Policy and applicable law.

23. Changes to the service & terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you through the Service). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

24. Governing law & disputes

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer, you may benefit from any mandatory protections and the courts of your place of residence as provided by applicable law. Nothing in this section affects your statutory rights.

25. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
  • No waiver. Our failure to enforce any right or provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
